Company

Good corporate governance promotes the success of a business.

In recent times, with the legal and regulatory landscape constantly evolving, there has been ever increasing scrutiny of how businesses conduct themselves.

In the UK, the aim of corporate governance (and other governance) regimes is to provide accountability and transparency within businesses. This enables stakeholders such as investors, partners, employees and the public to have confidence that the business is properly run, with integrity and in accordance with law and best practice.

Our company/corporate governance service is aimed at advising and helping guide senior management of the standards expected of them when running their business.

As well as advising on all aspects of company law, we also manage company secretarial and administration for our clients helping to free up senior management’s time so that they can focus on growing their business.

General company advice that we give includes:

  • director appointments, duties and responsibilities, independence issues, board composition, director and senior management induction and refresher training
  • acting as a non-executive director (NED) or advising on the appointments of a NED and their role within the business
  • board committees e.g. the audit committee, remuneration committee and nomination committee
  • company meetings and notices e.g. shareholder and board meetings, payment and treatment of dividends, shareholder rights, and corporate structures
  • shareholder agreements and constitutional documents such as memorandum and articles of association
  • ensuring policies and procedures are in place and follow good practice
  • other governance issues such as bribery and corruption, and whistleblowing

Our experience of acting for both small businesses and large corporate entities ensures that we have the knowledge and skills to help our clients with the corporate issues they might face.
